• You are purchasing solely for legitimate laboratory or scientific research purposes, in your capacity as (or on behalf of) a qualified researcher, laboratory, or research institution;
• You will not administer, ingest, inject, inhale, apply, or otherwise introduce any product purchased through this site into or onto a human or animal body, and will not resell products for such use;
• You will store, handle, and dispose of all products in accordance with applicable laboratory safety standards, institutional biosafety protocols, and all applicable federal, state, and local laws and regulations;
• You are at least eighteen (18) years of age and have the legal capacity to enter into a binding contract; and
• All information you provide to us, including shipping and billing information, is accurate and that you have authority to place orders on behalf of any institution or organization identified in your account.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate registration information and promptly update it if it changes. We may suspend or terminate any account, at our discretion, if we reasonably believe the account has been used in violation of these Terms, including any indication of non-research use.

You agree not to use this site or any product purchased through it to:

• Administer, consume, or apply any product to a human or animal, or to represent, market, or resell any product for such use;
• Make or republish any claim that a product diagnoses, treats, cures, mitigates, or prevents any disease or condition;
• Violate any applicable law, regulation, or third-party right;
• Circumvent, disable, or otherwise interfere with security-related features of the site; or
• Use automated means to scrape, extract, or reproduce site content or pricing without our prior written consent.

All prices are listed in U.S. dollars and are subject to change without notice. We reserve the right to refuse, limit, or cancel any order at our discretion, including orders that we reasonably suspect are not intended for legitimate research use, orders with inaccurate or incomplete information, or orders exceeding available inventory. Payment is processed securely through our third-party payment processor at the time of order.

Shipping and return terms are governed by our Shipping Policy and Return Policy, each of which is incorporated into these Terms by reference.

All content on this site, including text, graphics, logos, product descriptions, and research library articles, is owned by ChemBoris LLCor its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from site content without our prior written permission.

Except as expressly stated in a product's Certificate of Analysis, all products and content on this site are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that products are suitable for any particular research application; suitability for a given research protocol is solely the buyer's responsibility to determine.

To the fullest extent permitted by law, ChemBoris LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, research results, profits, or goodwill, arising out of or related to your use of this site or any product purchased through it, even if advised of the possibility of such damages. In no event will our aggregate liability for any claim exceed the amount you paid for the specific product giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability resulting from a party's gross negligence or willful misconduct.

You agree to indemnify, defend, and hold harmless ChemBoris LLC and its officers, employees, and suppliers from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms, including any use of a product outside of laboratory research; (b) your violation of any applicable law or regulation; or (c) any claim brought by a third party arising from your use, storage, handling, or disposal of products purchased through this site.

These Terms are governed by the laws of the State of [Governing State], without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or your use of this site will be subject to the exclusive jurisdiction of the state and federal courts located in the State of [Governing State], and you consent to personal jurisdiction in those courts.
